8. Payments are due as specified in your invoice. Late payments may incur interest charges and suspension of services until the balance is paid in full.
9. All deliverables provided during the engagement are for your internal use only. You may not resell, redistribute, or publicly share them without our prior consent.
10. We do not warrant that our services will be uninterrupted, error-free, or meet your specific requirements. We provide services "as is" without any warranties, express or implied.
11. In no event shall Codevyral Labs be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of our services, even if advised of the possibility of such damages.
12. Our total liability to you for any claim arising from these terms or our services shall not exceed the amount you paid us during the twelve months preceding the claim.
13. You agree to indemnify and hold Codevyral Labs harmless from any claims, damages, or expenses arising from your use of our services or violation of these terms.
14. These terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict of law provisions. Any legal action must be brought in the state or federal courts located in Lexington, Kentucky.
15. If any provision of these terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right does not waive that right.
16. We may update these terms from time to time. Continued use of our services after changes constitutes acceptance of the revised terms. It is your responsibility to review them periodically.
17. You may not assign or transfer your rights under these terms without our prior written consent. We may assign our rights freely.
18. These terms constitute the entire agreement between you and Codevyral Labs regarding your use of our services, superseding any prior agreements or understandings.
19. Any notices must be sent to the contact address provided below and will be deemed delivered when received. We may provide notices to you via email or through our website.
20. Force majeure: We are not liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, war, or internet disruptions.
